1. Agreement and company
These Terms of Service (“Terms”) are an agreement between you and Sedulus Ventures Pvt. Ltd. (“Sedulus”, “Billos”, “we”, “us” or “our”) for your access to and use of Billos websites, applications, software, APIs and related services (together, the “Service”). Billos is a product and brand of Sedulus Ventures Pvt. Ltd.
By creating an account, accepting an order form, clicking an acceptance button, downloading a Billos app, or using the Service, you confirm that you have authority to bind yourself or the business you represent and agree to these Terms. If you do not agree, do not use the Service.
2. The Billos Service
Billos provides restaurant billing, point-of-sale, kitchen, menu, table, inventory, customer, reservation, reporting, device, subscription and management tools. Features, limits, integrations and availability may vary by plan, device, region and order form.
The public website contains demonstrations and sample information. Demo panels do not create real orders, payments, accounts or restaurant records. A production account is required for production data and workflows.
3. Accounts and security
You must provide accurate account information, keep credentials confidential, use separate accounts for each authorised user where the plan supports them, and promptly tell us if you suspect unauthorised access. You are responsible for activity performed through your account and for managing your staff, roles, outlets, devices and integrations.
Do not share passwords, MFA codes or private keys. Billos may require identity or business verification before enabling sensitive features, payments, exports or management access.
4. Your data and our privacy policy
You retain your rights in the restaurant, customer, employee and business information that you submit to the Service (“Customer Data”). You give Billos a limited, worldwide, non-exclusive licence to host, copy, transmit, display and otherwise process Customer Data only as needed to provide, secure, support and improve the Service, comply with law, and perform our agreement with you.
You are responsible for having the permissions, notices and lawful basis needed to provide Customer Data to Billos, including data about restaurant guests, employees, suppliers and other people. Our Privacy Policy explains how we handle personal data and how restaurants and other customers may submit privacy requests.
We may use aggregated or de-identified information that cannot reasonably identify a person or business to operate, secure, measure and improve Billos.
5. Acceptable use
You may use Billos only for lawful restaurant or business purposes. You must not:
- access another person's account, tenant, outlet, device or data without authorisation;
- upload malware, harmful code, unlawful content or information you do not have the right to use;
- interfere with, overload, probe, scan or attempt to bypass the Service's security or rate limits;
- reverse engineer, decompile, copy, resell, rent, sublicense or build a competing service from Billos;
- use Billos to send spam, deceive people, violate privacy, infringe rights or break applicable law; or
- use tax, payment, billing or reporting output as a substitute for professional legal, accounting or tax advice.
We may investigate suspected violations and may restrict or suspend access where reasonably necessary to protect users, the Service or others.
6. Plans, fees and taxes
Paid plans, trials, user limits, outlet limits, implementation services and other charges are shown in the applicable pricing page, order form or invoice. Unless an order form says otherwise, fees are payable in the stated currency, taxes are additional where applicable, and subscriptions renew according to the selected billing period until cancelled.
Payment providers may process payment details under their own terms. You authorise Billos or its payment provider to charge valid fees and applicable taxes. We may suspend paid features for overdue amounts after giving reasonable notice, subject to applicable law and the applicable order terms.
Trials, credits, discounts and refunds are governed by the offer or order form that provided them. Unless the law or a written order says otherwise, unused time in a billing period is not refundable.
7. Integrations and third-party services
Billos may connect to payment processors, delivery platforms, messaging providers, accounting tools, printers, local outlet systems and other third-party services. You choose whether to enable an integration and authorise the applicable data exchange. Third-party services are governed by their own terms and privacy notices.
We are not responsible for a third party's availability, security, data practices, fees, content or changes. An integration may stop working if its provider changes an API, credential, permission or service.
8. Availability, offline mode and backups
We work to keep Billos reliable, but the Service may be unavailable for maintenance, upgrades, security events, network failures, device failures, third-party outages or events beyond our reasonable control. We may change or discontinue a feature after reasonable notice where practical.
Offline or local workflows are designed to keep a restaurant operating when connectivity is interrupted. They may delay synchronisation, payment confirmation, reporting, notifications or conflict resolution. You remain responsible for operating devices, internet access, printers, local backups and reviewing sync status.
Billos maintains backups and recovery processes appropriate to the Service, but no backup or recovery system is guaranteed to prevent every loss. Keep exports or other independent records required for your business, tax and legal obligations.
9. Ownership and feedback
Billos and its licensors own the Service, software, interfaces, documentation, designs, trademarks and related intellectual property. Except for the limited right to use the Service under these Terms, no ownership rights are transferred to you.
If you submit suggestions, ideas or feedback, you allow us to use them without restriction or payment, provided that we do not identify you publicly as the source without permission.
10. Confidentiality
Each party may receive non-public information from the other party. The receiving party will use reasonable care to protect it, use it only for the relationship, and disclose it only to people or providers who need it and are bound to protect it, or when required by law. Confidential information does not include information that is public without breach, already known lawfully, independently developed, or received lawfully from another source.
11. Suspension and termination
You may stop using the Service or cancel a subscription through the available account or support process. We may suspend or terminate access for non-payment, material breach, unlawful activity, security risk, prolonged inactivity or where continued service would create a legal or operational risk.
On termination, your right to use the Service ends. Subject to the plan, order form and lawful retention, we will provide a reasonable opportunity to export Customer Data. Provisions that by their nature should continue—such as ownership, confidentiality, disclaimers, liability limits, payment obligations and dispute terms—will survive.
12. Disclaimers
To the maximum extent permitted by law, the Service is provided on an “as available” and “as is” basis. We do not promise that the Service will be uninterrupted, error-free, fully compatible with every device or integration, or suitable for every business. Billos does not provide legal, tax, accounting, payment or food-safety advice. You are responsible for reviewing bills, tax configuration, prices, permissions, integrations and business decisions before relying on them.
13. Liability and indemnity
To the maximum extent permitted by applicable law, Sedulus and its affiliates, officers, employees and providers will not be liable for indirect, incidental, special, consequential, exemplary or punitive loss, or for lost profits, revenue, goodwill, data or business opportunity arising from the Service.
To the maximum extent permitted by law, our total liability for claims arising from the Service will not exceed the fees you paid to Billos for the Service during the twelve months before the event giving rise to the claim. This limit does not exclude liability that cannot legally be excluded or limited.
You will defend and indemnify Sedulus against third-party claims, losses and reasonable costs arising from your unlawful use of the Service, your breach of these Terms, or Customer Data that you did not have the right to provide or use.
14. Governing law and notices
These Terms are governed by the laws of India, without regard to conflict-of-law rules. Subject to any mandatory consumer or other rights that apply, courts located in Kolkata, West Bengal will have jurisdiction over disputes arising from these Terms or the Service.
Formal notices and legal or privacy questions should be sent to [email protected]. General product enquiries can be sent through our contact page.
15. Changes to these Terms
We may update these Terms when the Service, law or our business changes. We will post the updated version and update the effective date. Where a change materially affects a paid subscription or your rights, we will provide additional notice where reasonably practicable. Continued use after the effective date means you accept the updated Terms.
